The Securities and Exchange Commission has extended further the deadlines for the submission of annual financial statements (AFS) and the General Information Sheet (GIS).
In a notice issued on Aug. 11, SEC announced that corporations have until Sept. 30 to submit the printed copies of their AFS for fiscal year ending Nov. 30, 2019 and Dec. 31, 2019 to the SEC Baguio Extension Office (BEO).
Corporations, whose fiscal year ended Jan. 31, have until Aug. 28 to file their AFS while those ending Feb. 29 have until Sept. 28.
Those whose fiscal year ended March 31 have until Oct. 27 to submit; April 30 have until Nov. 11; May 31 until Oct. 28; and those that ended June 30 have until Nov. 27 to file the printed or hard copies of their AFS.
Publicly listed companies, other issuers of registered securities and public companies shall continue complying with SEC Memorandum Circular 5, s. 2020 and MC 17, s. 2020 in relation to their filing of annual reports.
Corporations, which held their annual stockholders’ meetings during the enhanced community quarantine and modified enhanced community quarantine in their respective principal office addresses, have until Sept. 30 to submit the printed or hard copies of their GIS to the SE-BEO.
All corporations are encouraged to send their reportorial requirements via courier or PHLPost to the SEC-BEO located at the 3rd floor of Newtown Square, Navy Base Road, Baguio City.
In the meantime, corporations may submit the scanned copies of their duly signed and, if applicable, notarized reports through email at [email protected].
The documents shall be considered received on the date reflected in the acknowledgment receipt that the Commission shall send through email. However, the printed reports shall still be submitted through courier or PHLPost on or before the deadlines provided.
The Commission, however, will continue implementing work-from-home and other alternative work arrangements, in accordance with the guidelines issued by the Civil Service Commission, to minimize disruption in the delivery of services to the public.
